Terms of Trading – KantoNhi's Wholesale

These Terms of Trading ("Terms") govern all wholesale purchases made through KantoNhi's Wholesale ("KantoNhi's Wholesale," "we," "us," or "our") by verified partners ("you," "your," "Partner"). By applying for a wholesale account, placing an order, or using our website, you agree to these Terms.

1. Eligibility & Account Verification

Access to wholesale pricing and inventory is restricted to verified business partners only.
To apply, you must submit accurate business information, including business name, business structure, EIN/SSN, state of operation, and a valid state-issued reseller certificate or seller's permit where applicable.
We reserve the right to approve, deny, or revoke wholesale access at our sole discretion, including if submitted information is inaccurate, incomplete, or cannot be verified.
Applications are typically processed within 1-2 business days.

2. Order Minimums

Standard orders: A minimum order of $1,000 is required to place a wholesale order.
Free shipping threshold: Orders of $2,500 or more qualify for free shipping. Orders between $1,000 and $2,499.99 will be subject to standard shipping charges.
We reserve the right to update these thresholds at any time; the current minimums in effect at the time of your order will apply.

3. Pricing & Payment

All wholesale pricing is available only to verified partners and is subject to change without notice.
Full payment is required upfront at the time of order placement. We do not currently offer deposit, installment, or net payment terms.
Accepted payment methods will be listed at checkout. Orders will not be processed or shipped until payment is confirmed.
All prices are listed in U.S. dollars (USD).

4. Confidentiality of Wholesale Pricing

Wholesale pricing, price sheets, and any related pricing information made available to you as a verified partner are confidential and provided solely for your use in operating your business. You agree not to publicly post, share, or distribute this pricing information to any third party, including competitors or unverified individuals, without our prior written consent.

5. Order Acceptance

Submitting an order does not guarantee fulfillment. All orders are subject to acceptance and product availability.
We reserve the right to cancel or refuse any order at our discretion, including in cases of suspected fraud, pricing errors, or inventory shortages. If we cancel a paid order, you will receive a full refund for that order.
We reserve the right to limit the quantity of any product available for purchase by any partner, particularly for limited, high-demand, or allocated product, in order to ensure fair distribution across our partner network.

6. Shipping

We currently ship within the United States only.
Shipping times and carriers will be communicated at the time of order confirmation.
Risk of loss and title for products pass to you upon our delivery to the shipping carrier, unless otherwise required by law.
It is your responsibility to provide accurate shipping information. We are not responsible for delays or non-delivery due to incorrect address information provided by you.

7. Delivery Confirmation

Upon delivery, you will be required to sign or otherwise confirm receipt of your order (e.g., carrier signature confirmation or acknowledgment through your account).
By signing or confirming receipt, you acknowledge that the shipment was received. You must immediately inspect the package and its contents upon receipt for any discrepancies, damage, or incorrect items.
All sales are final upon confirmed delivery, except where the order is incorrect in some way. See Section 8 (Returns & Refunds) for eligibility, reporting windows, and the refund process. Claims submitted after this window, or for shipments where receipt was confirmed without noting an issue, may not be eligible for review.

8. Returns & Refunds

All wholesale sales are final, except in cases where the order received is incorrect in some way (e.g., wrong item, wrong quantity, or a verified defect).
As outlined in Section 7, you must immediately inspect your order upon delivery. To be eligible for a refund, you must:
1. Contact customer support at contact@kantonhis.com within 48 hours of the confirmed delivery date
2. Provide your order number, a description of the issue, and photo proof of the incorrect or defective item(s)
If your claim is approved, we will provide a prepaid return shipping label. The item(s) must be shipped back to us within 5 days of approval, and must arrive at our facility within 14 days of approval.
Once we receive and confirm the returned item(s), you will receive a full refund to your original payment method. We do not offer exchanges — only refunds for approved claims.
Claims submitted after the 48-hour window, items not shipped within 5 days of approval, items not received by us within 14 days of approval, or claims made without required proof, are not eligible for a refund.

Automatic rejection conditions. We reserve the right to refuse any return, exchange, or refund request that does not meet our strict quality and security standards. Returns will be automatically rejected, and packages returned to the sender at their expense, if:

The factory shrink-wrap, manufacturer seal, or case tape has been torn, cut, altered, or replaced.
The product shows signs of tampering, "mapping," or resealing.
The serial numbers, batch codes, or tracking identifiers do not match our outbound shipment records.
The market value of the TCG product has experienced severe volatility since the date of purchase.
The return request or shipment falls outside the reporting, shipping, or arrival windows outlined above.

Counterfeit products. If a partner attempts to return, exchange, or submit a claim involving a counterfeit, fake, or otherwise fraudulent product represented as having been purchased from KantoNhi's Wholesale, we reserve the right to reject the claim, retain the item as evidence, report the conduct to relevant authorities, and pursue civil and/or criminal legal action against the responsible party, including but not limited to claims for fraud. This is in addition to, and not in place of, any other rights or remedies available to us under these Terms or applicable law.

9. Product Authenticity & Resale

All products sold through KantoNhi's Wholesale are represented as authentic and sourced through verified channels.
Partners are solely responsible for complying with all applicable laws regarding the resale of purchased products, including any state or local sales tax obligations.
Products purchased through your wholesale account are intended for resale by your verified business only and may not be diverted, resold in bulk to unverified third parties as a means of circumventing our verification process, or misrepresented as coming directly from KantoNhi's Wholesale.
Product images, descriptions, and packaging shown on our website are for reference only. Actual packaging, print runs, and box art may vary due to manufacturer updates or regional variants, and such variation alone does not constitute an incorrect or defective item under Section 8.

Disclaimer of warranties. EXCEPT AS EXPRESSLY STATED IN THIS SECTION, ALL PRODUCTS ARE SOLD "AS IS" AND KANTONHI'S WHOLESALE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Account Suspension & Termination

We reserve the right to suspend or terminate any wholesale account at our discretion, including for violation of these Terms, fraudulent activity, chargebacks, or misuse of a resale certificate or seller's permit.
You may close your account at any time by contacting us at contact@kantonhis.com.

11. Limitation of Liability

To the fullest extent permitted by law, KantoNhi's Wholesale shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our platform or purchase of our products, including but not limited to lost profits or business interruption. Our total liability for any claim related to an order shall not exceed the amount paid for that order.

12. Indemnification

You agree to indemnify and hold KantoNhi's Wholesale harmless from any claims, damages, or expenses (including legal fees) arising from your misuse of purchased products, violation of these Terms, or violation of any applicable law, including tax or resale regulations.

13. Cumulative Remedies

Our rights and remedies under these Terms, including account suspension or termination, are cumulative and in addition to, not in place of, any other rights or remedies available to us at law or in equity. Exercising one remedy does not waive our right to pursue any other remedy for the same or a related violation.

14. Force Majeure

We shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, carrier delays, customs delays, or supply chain disruptions.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, unless otherwise required by applicable law. Any dispute arising out of or relating to these Terms or any order shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of such courts. The prevailing party in any dispute shall be entitled to recover its reasonable attorney's fees and costs.

16. Assignment

These Terms, and any rights or obligations granted to you hereunder, may not be assigned or transferred by you, whether by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. No Waiver

Our failure to enforce any provision of these Terms, or any delay in doing so, shall not be construed as a waiver of that provision or of our right to enforce it at any later time.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KantoNhi's Wholesale regarding wholesale purchases and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral, relating to their subject matter.

20. Electronic Communications & Acceptance

By applying for a wholesale account, checking any required box, or placing an order through our website, you agree that such action constitutes a valid electronic signature and acceptance of these Terms, enforceable to the same extent as a handwritten signature, under the U.S. ESIGN Act and the California Uniform Electronic Transactions Act.

21. Changes to These Terms

We may update these Terms of Trading from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of our platform or placement of an order after changes are posted constitutes acceptance of the updated Terms.
